Terms of Service

These Terms cover how Refzy works for the three types of people who use it: businesses that subscribe to Refzy (“clients”), customers they invite to share their experience (“references”), and people who book a conversation through Refzy (“prospects”).

By creating an account, subscribing, booking a conversation, or otherwise using Refzy, you agree to these Terms.

Who we are

Refzy (“Refzy,” “we,” “us,” or “our”) operates the Refzy platform.

What Refzy does

Refzy helps businesses connect prospects with customers who have previously worked with them.

We provide tools that may include website widgets, reference profiles, invitations and onboarding, scheduling, reminders, payments, video meetings, conversation recording and transcription, AI-assisted analysis, reporting, and related services.

Refunds

Subscription fees, usage charges, processing fees, and other charges are generally non-refundable.

We do not provide prorated refunds or credits for unused subscription time.

If a material technical issue caused by Refzy prevents you from receiving the service you paid for, contact us at help@refzy.ai. After reviewing the circumstances, we may issue a refund, credit, or other adjustment at our discretion.

Reference payments that have already been earned or paid are not refundable except in cases of error, fraud, or another circumstance we determine warrants reversal.

Everyone participating in a Refzy conversation agrees to the following:

Recording, transcription, and AI analysis

Refzy conversations may be recorded and transcribed.

Participants are informed of recording and consent to it as part of the Refzy booking and participation process.

Refzy may use recordings and transcripts to:

Conversation recordings, transcripts, summaries, and insights may be made available to the client whose Refzy program arranged the conversation.

Participants should avoid unnecessarily sharing sensitive personal, medical, financial, legal, or confidential information during a Refzy conversation.

Our collection, use, storage, and sharing of recordings and transcripts are further described in our Privacy Policy.

What clients are responsible for

Refzy does not provide legal or regulatory advice regarding a client’s use of the platform.

No guarantee of results

Refzy is designed to help businesses build trust and improve the prospect experience, but we do not guarantee that use of Refzy will result in new customers, increased conversion rates, additional revenue, or any particular business outcome.

References and prospects make their own decisions, and Refzy does not control what participants say or how another person responds.

Acceptable use

You may not use Refzy to:

Your content and our platform

You retain ownership of information and materials you provide to Refzy, including logos, photographs, customer information, profiles, and other content.

You grant Refzy permission to use that content as reasonably necessary to provide, operate, secure, and support the service.

Refzy owns the Refzy platform, software, design, technology, branding, and other intellectual property associated with the service.

These Terms do not transfer ownership of Refzy intellectual property to you.

Third-party services

Refzy relies on third-party services that may include Google, Stripe, email providers, hosting providers, transcription providers, AI providers, and other infrastructure providers.

Your use of some features may also be subject to the terms and policies of those providers.

We are not responsible for outages, interruptions, or actions caused solely by third-party services outside our reasonable control.

Suspension and account closure

You may stop using Refzy and cancel your account at any time.

We may suspend or terminate access where we reasonably believe:

Cancellation or termination does not eliminate payment obligations already incurred.

Disclaimers

Refzy is provided on an “as is” and “as available” basis to the extent permitted by law.

We do not guarantee that the service will always be available, uninterrupted, secure, or error-free.

Refzy does not endorse or verify every statement made by a reference, prospect, or client and is not responsible for statements participants make during conversations.

Limitation of liability

To the fullest extent permitted by law, Refzy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from use of the service.

To the fullest extent permitted by law, Refzy’s total liability arising out of or relating to the service will not exceed the amount the client paid Refzy during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

Indemnification

To the extent permitted by law, clients agree to indemnify and hold Refzy harmless from third-party claims, losses, liabilities, and reasonable expenses arising from:

Changes to Refzy

We may add, remove, modify, or discontinue features as the service evolves.

We will not make changes intended to materially deprive an active paid client of the core service they purchased without reasonable notice where practicable.

Changes to these Terms

We may update these Terms from time to time.

If we make a material change, we will update the date at the top of this page and provide additional notice where appropriate.

Continued use of Refzy after updated Terms take effect constitutes acceptance of the revised Terms.
